Terms of Service

1. Overview
These Terms of Service ("Terms") govern (a) your use of mscastillo.com (the "Website") and (b) the executive virtual assistant services ("Services") provided by María Silvia Castillo ("I", "me", "my"). By using the Website or engaging my Services, you agree to these Terms.
2. The Services
I provide remote executive and virtual assistant support, which may include inbox and calendar management, CRM and operational support, client communication, and travel and logistics coordination. The specific scope, hours, and deliverables of any engagement are defined in the proposal and/or written agreement provided to you before work begins.
3. Independent contractor
I provide the Services as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between us. I am responsible for my own taxes and social contributions; you are not responsible for payroll taxes, health care, or employee benefits on my behalf. Clients in the United States may be asked to complete a W-8BEN form, which I will provide.
4. Initial consultation and no obligation
The initial consultation is free and creates no obligation. After you get in touch, I may send you a proposal; you are under no obligation to accept it, and neither of us is committed until a written proposal is accepted by both parties.
5. Fees and payment
- Fees, billing frequency, and payment terms are set out in the accepted proposal.
- Invoices are due within the period stated on the invoice. Late payments may pause work.
- If a retainer or minimum hours apply, they are agreed in advance and specified in the proposal.
6. Your responsibilities
- Provide the access, information, and context I need to do the work in a timely manner.
- Grant access to accounts and tools only through secure means, and let me know immediately if access should be revoked.
- Review and confirm deliverables; I am not responsible for delays caused by missing information or decisions.
7. Confidentiality
I will keep your confidential information private and will not disclose it to third parties except as needed to deliver the Services or as required by law. If you provide a mutual non-disclosure agreement, I will sign it. Access to your accounts and tools is used solely to perform the Services.
8. Intellectual property
Your materials, data, and work product belong to you. I retain ownership of my methods, processes, and any templates or tools I bring to the engagement. Nothing in these Terms transfers ownership of either party's intellectual property.
9. No outcome guarantees
I provide professional support, but I do not guarantee specific business outcomes, such as hours "reclaimed," revenue growth, or time savings. Results depend on your business, your workflows, and your decisions.
10. Limitation of liability
The Services are provided "as is" and "as available." To the maximum extent permitted by law, my total liability for any claim arising out of or relating to the Services or these Terms is limited to the fees you paid me in the three (3) months preceding the claim. I am not liable for indirect, incidental, consequential, or special damages, or for any decisions you make based on my work. Nothing in these Terms limits liability that cannot be limited by law.
11. Termination
Either party may terminate an engagement with written notice, as specified in the proposal (or with at least two weeks' notice if not specified). Work in progress is billed on a pro-rata basis up to the termination date. Sections 7, 8, 9, and 10 survive termination.
12. Website use
You agree not to misuse the Website, including attempting to gain unauthorized access, scraping content, or using it in a way that disrupts its operation. The Website is provided for informational purposes and is subject to my Privacy Policy.
13. Governing law
These Terms are governed by the laws of Argentina, without regard to conflict-of-law rules. Where a court claim is possible, you agree to the exclusive jurisdiction of the courts of the Autonomous City of Buenos Aires. This clause does not affect any consumer rights you may have that cannot be waived by law (for example, under EU/EEA or UK law).
14. Changes to these Terms
I may update these Terms from time to time. The current version is always available on this page, and the "last updated" date reflects the most recent change.
